Terms of Service

Effective October 16, 2026

1. About these terms

These Terms of Service ("Terms") govern your access to Exo, including its website, knowledge workspace, integrations, and agent API (the "Service"), operated by SageCreek AI ("we," "us," or "our"). By using the Service, you agree to these Terms. If you do not agree, do not use Exo. Our Privacy Policy explains how we handle information.

You must be at least 18 and able to enter a binding agreement. If you use Exo on behalf of an organization, you represent that you have authority to do so. A separate written agreement with us controls to the extent it conflicts with these Terms.

2. Your account and workspace

Accounts are provided by invitation. Give accurate account information, protect your password and agent tokens, and use only access you are authorized to have. You are responsible for activity you authorize through your account and for following your organization's policies. Notify us promptly if you suspect unauthorized access. Workspace administrators manage invitations and account access.

3. Your content and our permission to process it

You and your licensors retain your rights to the files, messages, notes, meeting content, prompts, and other material you provide or authorize Exo to import ("Your Content"). You grant us a nonexclusive permission to host, copy, process, organize, and display Your Content, and to use service providers for those purposes, only as needed to operate, secure, and support the Service as described in the Privacy Policy and your settings.

You must have the rights, permissions, and lawful basis needed to import and process Your Content, including information about other people. Choose sharing settings carefully: workspace-shared content and derived knowledge may be used in other authorized members' searches, answers, and agent requests. Do not import information your organization or another party prohibits you from sharing.

4. Connected services and meeting capture

Integrations are optional and subject to the third party's terms and the permissions you grant. Google integrations request read-only access; those permissions do not authorize Exo to send email or change your Google content. You can disconnect integrations in Exo or revoke access with the provider. Disconnecting does not automatically erase imported history or completed meeting transcripts; see the Privacy Policy for deletion options.

Manual or calendar-based meeting capture uses a visible Exo Notetaker participant and Recall.ai transcription. You are responsible for notifying all participants, obtaining every consent required by applicable law and organizational policy, and having authority to capture, retain, and share the conversation. The bot's presence or notice does not replace your consent obligations. New live captures create a transcript shared with the workspace, and provider transcript artifacts are retained indefinitely unless explicitly deleted as described in the Privacy Policy.

5. Acceptable use

You must not use Exo to:

  • Break the law or violate privacy, confidentiality, intellectual property, or other rights.
  • Access another person's account, private content, or systems without authorization.
  • Bypass access controls, interfere with the Service, distribute malware, or misuse credentials.
  • Record meetings without required notice and consent, or import content you have no right to use.
  • Use agents or integrations to perform actions beyond the authority you or your organization granted.

6. AI answers and automated actions

Exo uses AI to organize content, identify relationships and follow-ups, answer questions, and carry out supported requests. Output can be inaccurate, incomplete, outdated, or similar to output produced for others. Source links help you review an answer; they do not guarantee its accuracy. Verify important facts and review consequential actions before relying on them. You remain responsible for how you use output and any actions you authorize.

Exo output is not a substitute for qualified professional advice. We do not guarantee that generated content is unique or free of third-party rights. These Terms do not transfer ownership of Your Content to us or grant us a right to use it for unrelated advertising.

7. Our service and third parties

We and our licensors retain rights to the Service's software, branding, and other materials, excluding Your Content. These Terms give you permission to use Exo as intended while you have authorized access; they do not transfer ownership of the Service. Third-party and open-source materials remain subject to their applicable licenses. Third-party services may change, limit, or discontinue their features, affecting the integrations available in Exo.

8. Availability, suspension, and termination

We may update features and interrupt access for maintenance, security, or operational reasons. We may suspend or end access for a material violation of these Terms, a security risk, a legal requirement, or the end of your organization's access. Where practical and appropriate, we will provide notice and an opportunity to address the issue.

You may stop using Exo and request deletion at any time by contacting us. Disconnection, account removal, and deletion have different effects; retention and any continuing legal or security needs are described in the Privacy Policy. Keep independent copies of content you need. Provisions that by their nature must continue, including ownership and limitations of liability, survive termination.

9. Disclaimers and limits of liability

To the extent permitted by law, the Service and its output are provided "as is" and "as available," without express or implied warranties, including merchantability, fitness for a particular purpose, and noninfringement. We do not warrant uninterrupted operation, error-free output, or that every source or integration will always be available.

To the extent permitted by law, we are not liable for indirect, incidental, special, consequential, or punitive damages, or lost profits, revenue, data, or business opportunities arising from use of the Service. Our total liability for claims arising out of the Service is limited to the amount paid to us for the Service in the twelve months before the event giving rise to the claim. These limits do not exclude liability that applicable law does not allow us to limit, or restrict any mandatory rights you have.

10. Applicable law and resolving concerns

Unless a separate written agreement or mandatory law requires otherwise, Utah law governs these Terms, excluding its conflict-of-laws rules, and disputes may be brought in the state or federal courts in Utah. Please contact us first so we can try to resolve a concern. Nothing in these Terms limits rights or remedies that cannot lawfully be waived.

11. Changes and general terms

We may revise these Terms as the Service changes. We will post the revised Terms and effective date and provide notice of material changes through the Service or another appropriate channel before they take effect where required by law. Continued use after the changes take effect means you accept them; if you do not accept them, stop using the Service.

If a provision is unenforceable, the remaining provisions remain in effect. A failure to enforce a provision is not a waiver. These Terms and any applicable written agreement with us describe the agreement governing your use of Exo.
